Provide strategic legal counsel to Vitera leadership on commercial, product, technology, and regulatory matters. Draft, review, and negotiate complex commercial, SaaS, data-sharing, and vendor agreements. Structure partnerships across the defined contribution ecosystem, mitigate legal and regulatory risk, support product and operations implementation, coordinate with outside counsel (including ERISA specialists), and contribute to governance, policy, and communications review.

Provide commercial legal support for Orion Health and HEALWELL AI group, drafting and negotiating complex technology, SaaS, software licensing and commercial agreements, leading major transactions, advising on corporate, employment, property and dispute matters, managing external counsel, supporting compliance and governance across jurisdictions, and standing in for the General Counsel when required.

Provide independent legal counsel for insurance defence matters from intake through trial and appeal. Draft pleadings, affidavits, opinions and ADR materials; conduct discoveries, mediations, arbitrations, pre-trial conferences and trials; present legal education to claims teams; communicate with adjusters; adopt and use AI tools within ethical guardrails.

Draft, review and negotiate commercial agreements; advise on advertising, IP, consumer protection, content rights and cross-border activations; build templates, playbooks and legal operating models; manage external counsel and leverage legal technology to scale Brand and Commercial support.

Provide hands-on legal and regulatory advice across crypto, payments, securities and AML; partner with product, compliance and leadership to launch products, lead regulatory initiatives, draft commercial agreements, and improve legal processes using AI and automation.

Provide day-to-day legal support to commercial, marketing, and functional teams across Dental Solutions and Health Information Systems. Serve as first-line reviewer for routine commercial and operational matters, support marketing/claims review and contracting activities, maintain legal templates/processes, deliver training, and coordinate with Legal, Regulatory, IP, Privacy, and Compliance teams to ensure timely, compliant business execution.
