Job DescriptionReporting to the Vice President – Legal, the Senior Legal Counsel will be responsible for advising on the Company’s legal requirements across Canada and the U.S. The role supports the management team and site-based operational leaders by delivering high-quality, strategic, and timely legal advice across corporate, commercial, securities, compliance, employment, and litigation matters.
The successful candidate will work collaboratively with the Legal team to ensure adherence to governance and regulatory requirements. Strong communication skills, sound business judgment, self-motivation, and the ability to operate effectively in an entrepreneurial team environment are essential for success in this role.
Some key accountabilities:
- Advising on complex legal matters and effectively tailoring recommendations and solutions to meet the Company’s business objectives.
- Reviewing, drafting, negotiating and providing legal advice in relation to a wide range of procurement agreements.
- Assisting with all aspects of the Company’s continuous disclosure reporting obligations, including the preparation of annual information forms and management information circulars, and assisting with the review of financial statements, MD&A and news releases, as required.
- Supporting the Company and its various business units in understanding, anticipating and managing relevant legal and regulatory risks and developing mitigation strategies.
- Assisting in developing internal policies, procedures, guidelines and training materials to support compliance and operational efficiency.
- Supporting the management of litigation and disputes, including assisting with strategy and working collaboratively to address and mitigate risks.
- Providing effective support for corporate and commercial transactions, including mergers and acquisitions.
- Acting as key legal contact for the Company’s Haile Gold Mine in South Carolina, U.S., providing timely and practical advice on legal issues and working with local external counsel on jurisdiction specific matters.
- Supporting the Company Secretary function, including on corporate governance matters and compliance with Canadian and U.S. securities regulations.
- Monitoring legislative developments and best practices in corporate governance and making recommendations for changes to Company policies and procedures, as appropriate.
- Instructing and overseeing Canadian and U.S. legal advisors, as required.
- Performing such other responsibilities as may be assigned by the Executive Vice President, General Counsel and Vice President, Legal.
Candidates considering this position should have the following characteristics, experience and qualifications:
- Minimum of 8+ years post qualification experience at recognized law firm or previous in-house counsel experience. Experience in the mining industry is advantageous but not required.
- Exceptional interpersonal skills and the ability to collaborate professional with members of the management team and site-based operational leaders.
- Ability to deliver new perspectives, current best practices and innovative solutions, and to articulate recommendations in an intelligent and respectful manner.
- Exemplary judgment and decision-making skills, demonstrating a strategic and objective approach to challenges and opportunities.
- Resilient, adaptable and decisive individual with demonstrated skills managing multiple priorities while maintaining poise and delivering results in a dynamic environment.
- Active member in good standing of a law society in Canada with a Bachelor of Laws (LL.B.) or Juris Doctorate (J.D.) from a recognized law school.

The annual salary range for this position is $140,000 - $180,000. This range is a guide and final compensation for this position will be determined based on the candidate's unique skills, expertise, individual qualifications, and assessed contributions to the role following the completion of the interview process.
