Role & Responsibilities
Reporting to the General Counsel, Elemica’s Senior Counsel will provide practical legal guidance across a broad range of commercial, corporate, compliance, and operational matters. The ideal candidate is a collaborative legal professional who can balance legal risk with business objectives in a fast-paced SaaS environment. This position will partner closely with Sales, Procurement, Product, Finance, Human Resources, and Executive Leadership to support the company's growth while protecting its legal and commercial interests.
What You’ll Do
Draft, review, negotiate, and manage a wide variety of commercial agreements, including SaaS subscriptions, software licenses, professional services agreements, vendor contracts, NDAs, partnership agreements, and customer-facing contracts
Provide day-to-day legal support to Sales and Customer Success teams throughout the contract lifecycle
Advise business stakeholders on legal, regulatory, and compliance matters impacting company operations
Assist with corporate governance activities, including entity management, board-related matters, and corporate record maintenance
Support privacy, data protection, cybersecurity, and information security initiatives, including customer and vendor diligence requests
Partner with Human Resources on employment-related matters, policies, and legal compliance
Assist with dispute resolution, claims management, and outside counsel coordination when necessary
Develop and improve legal processes, templates, playbooks, and contract management practices to increase efficiency and scalability
Monitor legal and regulatory developments relevant to SaaS, technology, and digital supply chain industries
Deliver practical, business-focused legal advice that enables growth while appropriately managing risk
What You’ll Need
Basic Qualifications
Juris Doctor from an accredited law school
Active membership in good standing with at least one U.S. state bar
Approximately 3-5 years of relevant legal experience, including law firm and/or in-house counsel experience
Experience drafting and negotiating commercial contracts
Strong understanding of contract law and general corporate legal principles
Excellent written and verbal communication skills
Ability to manage multiple priorities and work independently in a fast-paced environment
Strong business judgment and pragmatic problem-solving skills
Preferred Qualifications
In-house legal experience supporting a SaaS, technology, software, or digital supply chain company
Experience with data privacy, information security, and compliance matters
Familiarity with software licensing, cloud services, and enterprise customer agreements
Experience supporting international business operations
LL.M. or additional legal specialization is a plus
