As US Corporate Counsel, you will have the opportunity to manage commercial agreements with clients, suppliers, and partners, addressing a variety of corporate legal needs, and providing daily legal support and guidance across all company departments. This position reports to the Lead US Counsel.
Responsibilities
- Drafting, reviewing and negotiating agreements with clients, partners and vendors, including software licensing agreements (on premises and SaaS), NDAs, partner agreements, maintenance and support, vendor agreements, administrative agreements and consulting agreements, etc.
- Supporting the activities of and collaborate with various departments in the company, such as marketing, sales, product, human resources and finance
- Identifying and implementing proactive solutions for resolving and/or mitigating risks
- Assist with strategic projects
Requirements
- JD from an accredited law school; bar admission in at least one US state and in good standing to practice law in your relevant jurisdiction
- 3-5 years of extensive experience working in a commercial or high-tech department of a leading law firm and/or as an in-house counsel in a software company
- Proven experience in drafting and negotiating commercial agreements, including experience with international transactions, NDAs, software license agreements, partnership agreements and service provider agreements
- Ability to manage multiple complex agreements at a time
- Excellent negotiation, drafting, analytical and communication skills, including the ability to work and collaborate with colleagues and counterparties in multiple locations
- Ability to effectively prioritize and manage multiple tasks
- Ability to be highly business oriented
- Ability to balance legal concerns with the company's business interests
- Ability to work independently
- Driven and motivated self-starter
- Ability to comfortably and effectively communicate and work remotely, as Silverfort is an international company with company personnel, partners, and clients being spread out all over the world
- Understanding and experience in data privacy and data security law
