Job Description

As Associate Corporate Counsel, you will provide support to Nidec’s MOEN division and Nidec group companies/affiliates located primarily in North and South America on legal matters.

Responsibilities & Duties

  • Drafting and negotiating a wide range of commercial agreements including master supply agreements with international and domestic customers and suppliers, engagement letters with professional advisors, software license agreements, non-disclosure agreements, commercial terms and conditions of sale and purchase, sales representative agreements and distribution agreements.
  • Creating and updating standard form commercial agreements.
  • Analyzing and interpreting contract provisions to provide legal guidance to internal businesses.
  • Managing supplier/customer questionnaires on corporate governance and compliance.
  • Assisting the credit department drafting legal demand letters and negotiating payment plans.
  • Conducting legal research on various legal matters as they arise.  
  • Providing support as needed to the Vice President of Legal Services and the Corporate Counsel.
  • Managing and delegating tasks, as appropriate, to outside counsel and team members within the law department.
  • Interacting and developing professional relationships with other members of the law department and internal and external stakeholders to support Nidec’s business goals.
  • Developing and maintaining a database of contracts.
  • Other responsibilities as assigned.

Knowledge, Skills, & Abilities

  • Law degree (J.D. or equivalent) from an ABA-accredited law school, ranking in the Top 50% of graduating class.
  • License to practice law in a minimum of one state (preferably, Missouri).
  • Minimum of two (2) years of relevant work experience in drafting and negotiating commercial contracts with a law firm or in-house legal department.
  • Merger and acquisition experience a plus. Employment law experience a plus.
  • Ability to prioritize work tasks to provide high-quality work product to meet internal and external deadlines.
  • Strong computer skills, including experience with Microsoft Office (Word and Excel) and Adobe Acrobat.
  • Ability and willingness to travel on occasion (less than 10% of the time).
  • Excellent business judgment and the ability to work closely with a variety of businesses and personnel to provide timely legal advice and drive practical business solutions.
  • Ability to work independently with high attention to detail, strong organization skills and management focus.
  • Exceptional interpersonal, communication and negotiation skills.
